General Terms of Sale and Subscription (CGV)
Preamble
The SellerScale service, accessible at sellerscale.ai, is published by Axiom Systems Lab LLC, a limited liability company incorporated under the law of the State of Wyoming, whose registered office is at 30 N Gould St, Ste R, Sheridan, WY 82801, United States, registered with the Wyoming Secretary of State under number 2026-002039014. The publication director is Christophe Halin. Contact: through the contact form on the Site (sellerscale.ai/contact) or by post to the registered office. This company is referred to in the remainder of this document as "the Publisher".
These General Terms of Sale and Subscription (the "CGV") govern the taking out, the billing, the term, the withdrawal from and the termination of subscriptions to the SellerScale service (the "Service"). They supplement the General Terms of Use (the "CGU"), which govern access to the Service and its use. In the event of any contradiction, the CGV prevail for everything relating to sale and subscription.
Taking out a subscription or the free trial requires prior reading of the CGV and their acceptance by means of a dedicated tick box at the time of the order.
Article 1. Definitions
Service: the SellerScale SaaS application, a decision-support tool intended for creators of Amazon FBA stores, described in article 2.
User: any natural person of full age who holds an Account.
Consumer: any User who is a natural person acting for purposes which fall outside their commercial, industrial, craft, professional or agricultural activity.
Account: the User's personal space on the Service, protected by personal login credentials.
Plan: one of the access packages to the Service described in article 3.
Subscription: the open-ended contract concluded between the User and the Publisher for access to a paid Plan.
Billing period: the period, of one month or one year depending on the package chosen, in respect of which the Subscription is invoiced.
Free trial: the 7-day trial period described in article 5.
Founder rate: the preferential rate defined in article 9.
Article 2. Nature of the Service: a decision-support tool
This article summarizes article 4 of the CGU (Nature of the Service, data and estimates), which is authoritative in its entirety.
The Service consolidates public market data and produces numerical estimates (estimated margin, estimated maximum purchase cost, estimated fees). These estimates are indicative and not guaranteed. The Service provides means, ideas and proposals: product ideas calibrated on the budget you declare, a step-by-step educational launch plan, a profitability calculator, and a dashboard connected in read-only mode to your Amazon seller account through the SP-API.
The Service provides no investment advice, nor any financial, legal, accounting or tax advice, nor any personalized purchase recommendation. Zero risk does not exist in a commercial activity. No result, turnover or profit is guaranteed. You decide alone, independently and under your sole responsibility, on your choices of products and suppliers and on your financial commitments. Your results depend on your execution and on market conditions.
SellerScale is not affiliated with, sponsored by or approved by Amazon or Alibaba. The trademarks mentioned belong to their owners. The SP-API connection depends on the availability of Amazon's services.
Article 3. Plans, content and limits
The Service is offered under four Plans. The up-to-date details of the features and limits of each Plan appear on the pricing page of the sellerscale.ai site and are presented to you before any order.
Free plan (0 EUR): discovery access. Product ideas are shown blurred and cannot be used as such. This Plan does not give access to the full features of the Service.
Starter plan: 39 EUR per month, all taxes included. Access to product ideas calibrated on your declared budget, to the educational launch plan and to the profitability calculator, within the usage limits stated on the pricing page.
Growth plan: 79 EUR per month, all taxes included. Content of the Starter plan with wider usage limits, together with the dashboard connected to your Amazon account (read-only through the SP-API).
Ambition plan: 129 EUR per month, all taxes included. Content of the Growth plan, with in addition links to profiles of independent third-party suppliers referenced on Alibaba. This is a mere introduction: the Publisher is not a party to the transactions you may enter into with these suppliers and receives no remuneration from them. You negotiate and contract with them under your sole responsibility.
Annual payment. Each paid Plan may be taken out on a monthly or on an annual basis. On an annual basis, nine monthly instalments are invoiced in a single payment and give entitlement to twelve months of access, namely: Starter plan 351 EUR, Growth plan 711 EUR, Ambition plan 1 161 EUR. The exact amount is presented to you before the order is validated.
Prices in euros are stated inclusive of all taxes, on a monthly as well as on an annual basis, the applicable VAT being that of the Consumer's country of residence (article 7).
Billing in US dollars. Users whose main Amazon marketplace is amazon.com are billed in US dollars, at the same nominal amounts: Starter plan 39 USD per month, Growth plan 79 USD per month, Ambition plan 129 USD per month. On an annual basis, on the same terms as in euros: Starter plan 351 USD, Growth plan 711 USD, Ambition plan 1 161 USD. These amounts are stated exclusive of tax, on a monthly as well as on an annual basis. Any applicable sales tax is calculated and added at the time of payment, and the total amount payable is displayed to you before the order is validated. The main marketplace is the one you choose when creating the Account; it determines the billing currency, independently of your display language and of your country of residence.
Article 4. Order and pre-contractual information
Subscription is carried out online, from the site or the application. Before the order is validated, the following are presented to you clearly and legibly: the essential characteristics of the Plan chosen and its limits, the price inclusive of all taxes, the open-ended nature of the contract and the terms of termination, the terms of the free trial and of its automatic conversion into a paid subscription (article 5), and the information relating to the right of withdrawal (article 11).
The ordering process comprises: the choice of Plan, the creation of or connection to the Account, entry of payment details, review of the summary and validation by means of a button clearly stating the obligation to pay (wording such as "Order with obligation to pay" or an equivalent formula). An order confirmation setting out all of this information is sent to you by email on a durable medium.
Article 5. 7-day free trial
Paid Plans may be preceded by a 7-day free trial, limited to one trial per User.
Bank card required. Taking out the free trial requires the registration of a valid bank card. No amount is charged during the free trial.
Automatic conversion. At the end of the 7 trial days, and unless you cancel before they expire, the free trial converts automatically into a paid Subscription to the Plan chosen. This information is given to you clearly and explicitly as from the moment the free trial is taken out: the exact date of the first payment and its exact amount, in the billing currency of your Account, are displayed before validation and repeated in the confirmation email.
Reminder email. A reminder email is sent to you before the end of the free trial and before the first payment, stating again the date and the amount of the forthcoming payment as well as the means of canceling.
Cancellation during the trial. You may cancel the free trial at any time, online, from your Account, in a few clicks. Cancellation before the end of the trial prevents any payment being taken. The Account then switches to the Free plan.
Article 6. Term of the contract and billing
The Subscription is concluded for an indefinite term, without any minimum commitment period. It is invoiced by successive Billing periods, payable in advance. The Billing period is one month or one year, according to what you chose when placing the order, and renews tacitly for an identical term.
You may terminate the Subscription at any time under the conditions of article 12. Termination takes effect at the end of the current Billing period: you keep access to the paid Plan until that date and no further payment is taken thereafter.
Article 7. Prices, VAT and price revision
The prices of the Plans are stated in article 3 and on the pricing page. Prices in euros are inclusive of all taxes: the VAT rate applied is the rate in force in the Consumer's country of habitual residence on the day of billing.
Prices in US dollars are exclusive of tax. Any applicable sales tax is calculated at the time of payment according to the User's place of taxation and is added to the price displayed. The total amount is presented before the order is validated and appears on the invoice.
The Publisher may revise the prices of the Plans. Any revision is notified by email with a minimum of 30 days' notice before it applies. If you refuse the new price, you may terminate the Subscription free of charge before the date on which it applies; failing termination, the new price applies to the Billing period following that date.
Protection of the Founder rate: the price revision does not apply to Accounts benefiting from the Founder rate for as long as their Subscription remains active, under the conditions of article 9.
Article 8. Payment and payment failure
Payment is made by bank card through the secure payment provider Stripe. Payment is taken at the beginning of each Billing period. Invoices are available from the Account and sent by email.
If a payment fails, the Publisher informs you by email and makes one or more further attempts to take payment. If the failure persists, access to the paid Plan may be suspended after a reminder has gone unanswered. Failing regularization within a reasonable time after formal notice sent by email, the Publisher may terminate the Subscription; the Account then switches to the Free plan.
No penalty, no late payment charge and no recovery costs are billed to the Consumer on account of a payment failure. Only the sums corresponding to service periods actually due remain payable.
Article 9. Founder rate
The Founder rate is a preferential rate offered at the launch of the Service or as part of dedicated offers.
It is governed by the following rules:
- The Founder rate is maintained for as long as the Subscription to which it is attached remains active, with no time limit. It is not affected by the price revisions under article 7.
- The Founder rate is definitively lost in the event of termination of the Subscription, whatever the cause, including termination for unremedied payment failure. Any later new subscription is taken out at the rate then in force. By way of exception, the Founder rate is not lost where the termination or rescission is attributable to the Publisher, in particular in the event of rescission for lack of conformity or of termination following the refusal of a substantial amendment to the CGU or the CGV.
- Moving to a higher Plan preserves the benefit of the Founder rate, applied to the founder rate of the new Plan where one exists; moving to a lower Plan entails the loss of the Founder rate. The exact price consequences are stated to you before any confirmation of the change.
- In the event of assignment of the contract under the conditions of article 15, the Founder rate is expressly taken over by the assignee on the same terms.
Article 10. Legal guarantee of conformity
The consumer benefits from the legal guarantee of conformity throughout the period during which the digital service is supplied. They are entitled to have the service brought into conformity free of charge and without undue delay; failing that, they may obtain a price reduction or the rescission of the contract. These rights are exercised without prejudice to the guarantee against hidden defects and to the right to damages.
The Service is a digital service supplied on a continuous basis. Toward Consumers, the Publisher owes the legal guarantee of conformity provided for in articles L224-25-12 et seq. of the French Consumer Code, throughout the period during which the Service is supplied.
On that basis, the Publisher owes a Service in conformity with its contractual description: access to the features of the Plan taken out, supply of the updates necessary to maintain conformity, and technical operation in conformity with what a consumer may legitimately expect. In the event of a lack of conformity, you may obtain the bringing of the Service into conformity and, failing that, a price reduction or the rescission of the contract, under the conditions provided for by the French Consumer Code.
The legal guarantee of conformity covers the Service itself. It never covers the commercial performance of your business: the profitability of your store, your sales, your actual margins or the success of a product are not characteristics owed under the contract (article 2).
Article 11. Right of withdrawal
Period. As a Consumer, you have a withdrawal period of 14 days from the day on which the free trial is taken out (day 0), which is the single starting point of the period. As the free trial lasts 7 days, this period expires 7 days after the first payment.
Subscription without a free trial. If you take out a Subscription without a free trial, the 14-day withdrawal period runs from the day on which the Subscription is taken out. If you have expressly requested immediate performance of the Service and you withdraw before the expiry of the period, you owe only the amount corresponding to the service supplied between the taking out of the subscription and the communication of your decision, in accordance with article L221-25 of the French Consumer Code, the balance being refunded to you.
No new period. In accordance with the case law of the Court of Justice of the European Union (judgment of October 5, 2023, Sofatutor, case C-565/22), the automatic conversion of the free trial into a paid Subscription does not start any new withdrawal period, since clear, comprehensible and explicit information about that conversion, its date and its amount is given to you as from the taking out of the trial (article 5). The same applies to subsequent Billing periods, which open no new period.
Immediate performance. When taking out the subscription, you are offered, by means of a dedicated box that is not pre-ticked, the possibility of expressly requesting that performance of the Service begin immediately, without waiting for the end of the withdrawal period. This request does not cause you to lose your right of withdrawal. If you do not request immediate performance of the Service, access to the Service and, in any event, the start of the paid period are deferred until the expiry of the 14-day withdrawal period; no payment is taken before that date.
Effects. If you withdraw during the free trial, no amount is due. If you withdraw after the start of the paid period and before the expiry of the period, you are refunded pro rata, in accordance with article L221-25 of the French Consumer Code: you owe only the amount corresponding to the service supplied between the start of the paid period and the communication of your withdrawal decision, calculated on the paid period alone, the free trial not being invoiced. The refund is made no later than 14 days after receipt of your decision, using the same means of payment.
How to exercise this right. You may exercise your right of withdrawal:
- through the online withdrawal function available from your Account, labeled « Renoncer au contrat ici » (withdraw from the contract here); after you confirm, the Publisher sends you without delay an acknowledgment of receipt of your withdrawal on a durable medium (email);
- by using the model withdrawal form set out in the appendix to these CGV, sent through the contact form on the Site (sellerscale.ai/contact) or by post to the Publisher's registered office;
- by any other unambiguous statement expressing your wish to withdraw.
The burden of proving the exercise of the right of withdrawal lies with you; you are advised to keep the acknowledgment of receipt.
Article 12. Online termination
You may terminate your Subscription at any time, free of charge, online, through a simple "three clicks" path complying with article L215-1-1 of the French Consumer Code: (1) access to the "Cancel my subscription" function from your Account, (2) a summary of the consequences of termination, including the date on which access ends and, where applicable, the loss of the Founder rate, (3) confirmation.
Termination takes effect at the end of the current Billing period. A termination confirmation stating the date on which access ends is sent to you by email. No termination fee is due. The sums already paid in respect of the current period remain acquired by the Publisher, the Service remaining accessible until the effective date.
The Publisher may for its part suspend or terminate the Account in the event of a breach by the User, after prior formal notice has gone unanswered, save in the event of serious abuse justifying an immediate measure, under the conditions detailed in the CGU.
Article 13. Liability
13.1. Best-efforts obligation. The Publisher undertakes to supply the Service with diligence and under a best-efforts obligation (obligation de moyens): it implements reasonable means to ensure access to the Service, the quality of the consolidations of public data and the operation of the tools, without guaranteeing the absence of interruption or error.
13.2. The User's commercial decisions. The Publisher is not liable for losses resulting from the User's own commercial decisions, in particular: the choice of a product, the purchase of stock, the setting of the resale price, the relationship with a supplier, or any financial commitment made on the basis of the indicative estimates supplied by the Service (article 2). These decisions fall under the sole responsibility of the User.
13.3. Cap applicable to professionals only. For Users acting in a professional capacity only, the Publisher's total liability is capped at the amount of the subscription sums paid over the 12 months preceding the triggering event. This cap never applies to Consumers.
13.4. Limits of public policy. Nothing in these terms excludes or limits the Publisher's liability in the event of willful misconduct or gross negligence, of personal injury, or in any case where such a limitation would be set aside by a mandatory provision. The legal guarantees benefiting Consumers remain fully applicable.
Article 14. Force majeure
Performance of the Publisher's obligations is suspended in the event of a force majeure event within the meaning of article 1218 of the French Civil Code. If the impediment is permanent or continues beyond 60 days, either party may terminate the contract without compensation, the sums corresponding to periods not supplied being refunded.
Article 15. Assignment of the contract
The Publisher may assign the contract, together with all the rights and obligations attached to it, to any entity belonging to the same group or succeeding to the Publisher's rights, in particular as part of a reorganization, a merger or a transfer of business to a new entity.
In such a case: (1) you are informed of the assignment beforehand by email; (2) you have the option of terminating your Subscription free of charge if the assignment does not suit you; (3) the assignee expressly takes over all of your contractual conditions, including any Founder rate from which you benefit. The assignment affects neither your acquired rights nor the legal guarantees from which you benefit.
Article 16. Amendment of the CGV
The Publisher may amend these CGV. Any substantial amendment is notified by email with a minimum of 30 days' notice before it comes into force. If you refuse the amendment, you may terminate your Subscription free of charge before that date. Continued use of the Service after it comes into force constitutes acceptance of the new version. The applicable version is identified by its number and its date of entry into force.
Article 17. Complaints, customer service and mediation
For any question or complaint, customer service can be reached through the contact form on the Site (sellerscale.ai/contact). The Publisher acknowledges receipt of any complaint and endeavors to answer it within a reasonable time.
If the answer does not satisfy you, you may have recourse to any consumer mediation or amicable dispute resolution scheme available in your country of residence. Consumers residing in Belgium, Switzerland, Morocco or Quebec retain the benefit of the dispute resolution mechanisms provided for by their local law.
Article 18. Personal data
The processing of personal data is described in the Privacy Policy of the Service, which is the subject of a separate document. Person responsible for the protection of personal information for Quebec: the Publisher's director.
Article 19. Governing law and jurisdiction
These CGV are governed by French law, adopted as the law of reference.
This designation does not, however, deprive the Consumer of the protection afforded to them by the mandatory and more protective provisions of the law of their country of habitual residence, which remain expressly reserved and prevail in the event of conflict. This concerns in particular Consumers residing in Belgium, Switzerland, Morocco and Quebec (Canada).
In the event of a dispute, the rules of jurisdiction protecting the Consumer are reserved: the Consumer may in particular bring proceedings before the court of the place of their residence where their law so permits. For Users acting in a professional capacity and to the extent permitted by the applicable law, jurisdiction is conferred on the courts within the jurisdiction of the Paris Court of Appeal.
Article 20. Miscellaneous
If one of the provisions of these CGV is declared void or unenforceable, the other provisions retain their full force. The fact that the Publisher does not rely on a breach does not constitute a waiver of the right to rely on it later. The Publisher's computerized records and the emails exchanged constitute evidence between the parties, unless proved otherwise.
